Terms of Service

Preamble: 

The consultant offers advice in the area of optimizing payment service costs. The Client, who in the present case is not acting as a consumer but exclusively as an entrepreneur within the meaning of Section 14 of the German Civil Code (BGB), commissions the Consultant through the present Agreement to analyse the existing payment options for customers in order to subsequently achieve/show/prove savings opportunities for the Client. In this context, the parties regulate the following:


 § 1 Content of the assignment
The consultant is commissioned to work for the commercial client on agreed basis. The consultant will analyse the client's costs for payment service providers and payment systems in the 12 months preceding the consulting appointment. On this basis, the consultant recommends alternative payment service providers or payment systems that are more cost-effective for the client. The focus is on cost savings, security and conversion rate increase. In addition, advice is given on the integration of the payment service providers. The client commissions the consultant, in this context to conduct negotiations with payment service providers in the name of and on behalf of the client. 

 

 § 2 Amount of remuneration 

The remuneration is set as in the shown pricing table and is due before the consultation starts, unless anything else is mentioned in the comments above.

 

§ 3 Entitlement to the remuneration / due date of the remuneration 

The claim to the consultant's remuneration shall arise with the actual implementation of the recommended payment service provider/payment system. This entitlement to remuneration arises irrespective of whether the implementation is supervised and accompanied by the consultant or whether the client independently implements the recommended payment service provider/payment system or commissions it in some other way.  


 § 4 Rights and obligations of the principal 

The Client undertakes not to independently make any changes in the area of payment services during the Consultant's activities which fall within the Consultant's scope of activity. 
The Client undertakes to provide the Consultant with all information concerning the costs of payment service providers/payment systems for the 12 months prior to the first consulting appointment and prior to implementation of the recommended payment service provider/payment system. 
The Client undertakes not to seek the objective of the consultancy in question itself or through third parties in any other way. 

 § 5 Rights and duties of the consultant
 
The Consultant may assume that the information and documents provided by the Client are correct and shall not be obliged to check them.  
The Consultant shall be entitled to involve third parties (in particular payment service providers and cooperation partners) in the processing of the order. It undertakes to impose confidential treatment of the information obtained on both third parties and employed staff. 
 
 § 6 Final clauses
 
Amendments and supplements to this contract must be made in writing to be effective. This also applies to the amendment of this written form clause. 
Should individual provisions of the contract be or become invalid in whole or in part, this shall not affect the validity of the remaining provisions. In place of the invalid provision or in order to implement any loopholes in the contract, an appropriate provision shall be made which, while avoiding the reason for invalidity, comes as close as possible to the purpose of the omitted provision, taking into account the overall meaning of the contract. the purpose of the omitted provision, taking into account the overall meaning of the contract. 
The place of performance and jurisdiction for all claims arising from this contractual relationship shall be the Consultant's registered office.
